EverPass Connected TV Terms & Conditions (“Connected TV Terms”)
Capitalized terms used but not defined in these Connected TV Terms have the meanings given to them in the EverPass Master Subscription Agreement (“MSA”) available at https://everpass.com/customer-msa/. These Connected TV Terms supplement, and do not limit or replace, the MSA or any Content-Specific Terms, and apply specifically to Customer’s access to or use of the Services through Connected TV Devices.
EverPass makes the EverPass Connected TV app available as a flexible alternative for Customers that elect to access the Services through compatible customer-provided smart TVs or streaming devices instead of, or in combination with, EverPass-provided Hardware.
These Connected TV Terms apply if Customer elects to access or use the EverPass Services through any compatible smart TV, streaming device, streaming stick, or similar connected television device that is owned, purchased, provided, configured, or controlled by Customer or its vendors and not provided, configured, or controlled by EverPass (each, a “Connected TV Device”), instead of, or in combination with, Hardware provided by EverPass. Connected TV Devices include compatible smart TVs, streaming devices, streaming sticks, and similar connected television devices and their related operating systems, manufacturer settings, third-party applications, and related device environments that are not provided, configured, or controlled by EverPass.
Connected TV Devices are not “Hardware” under the Agreement, and EverPass has no obligation to provide, replace, repair, return, configure, manage, monitor, update, secure, or maintain any Connected TV Device.
Customer acknowledges that EverPass-provided Hardware is designed specifically for commercial streaming and may provide a more consistent operational experience than Connected TV Devices, including with respect to EverPass’s ability to support, manage, monitor, troubleshoot, and operate the Services. Customer acknowledges and agrees that it assumes all risks, costs, and liabilities arising from or related to Connected TV Devices or other Customer-controlled circumstances, including Customer’s election to use Connected TV Devices instead of, or in combination with, EverPass-provided Hardware. Connected TV Devices may have different, reduced, or unavailable functionality, reliability, supportability, compatibility, performance, analytics, scheduling, EverPass Engage features, monitoring, diagnostics, recovery, remote troubleshooting, device management, AV rack integration, advanced control system integration, mixed-device deployment behavior, and other operational capabilities.
Customer is solely responsible for selecting, configuring, maintaining, updating, securing, and operating all Connected TV Devices used with the Services, and for ensuring that they are compatible with and suitable for Customer’s use of the Services. Customer understands and agrees that EverPass does not own, provide, configure, control, monitor, update, secure, manage, or validate Connected TV Devices, manufacturer settings, operating system versions, third-party platform or application status, network conditions, bandwidth, AV set-up, or other Customer-controlled or third party-controlled circumstances. Certain features may be limited, unavailable, inconsistent across device types, or dependent on circumstances outside EverPass’s control.
Customer is solely responsible for ensuring that each Connected TV Device remains compatible with the EverPass Connected TV app and the Services, including maintaining supported operating system versions, manufacturer settings, app versions, internet connectivity, bandwidth, display settings, input settings, power and sleep settings, and any other device, network, or venue configuration required for use of the Services. Customer acknowledges that certain functionality may require the EverPass Connected TV app to remain open and active on the Connected TV Device and that analytics, scheduling, monitoring, diagnostics, recovery, and troubleshooting capabilities may be limited or unavailable when the app is closed, the device is offline, the device enters sleep mode, or the applicable platform restricts EverPass’s access or functionality. Customer’s use of Connected TV Devices does not limit Customer’s obligation to comply with the Agreement, including all Content-Specific Terms, restrictions on Content exhibition, and requirements applicable to Authorized Locations.
EverPass does not guarantee that the Services will operate without interruption, error, latency, degradation, or other performance issues on any Connected TV Device, and EverPass is not responsible for any such issues arising from or related to Customer’s election to use Connected TV Devices. EverPass may provide troubleshooting support for the Services, but its ability to diagnose, control, update, reboot, monitor, manage, or remediate Connected TV Device issues may be limited, and EverPass has no obligation to provide support for Connected TV Devices themselves.
Customer is solely responsible for complying with all terms, policies, requirements, and technical restrictions imposed by any applicable app store, device manufacturer, operating system provider, network provider, or other third-party platform. EverPass is not responsible for any change, suspension, restriction, incompatibility, removal, approval delay, feature limitation, or other action or inaction by any such third party that affects Customer’s access to or use of the Services through a Connected TV Device.
EverPass, its Affiliates, Licensors, third-party providers, and service providers are not responsible for any limitations, incompatibilities, failures, errors, interruptions, latency, degraded quality, reduced functionality, support limitations, claims, losses, costs, expenses, or other issues caused by, arising from, or related to Connected TV Devices, third-party platforms, app store requirements, or any other Customer-controlled environment. Customer is not entitled to any refund, credit, cancellation right, service-level remedy, or other compensation arising from or related to any such issue, except to the extent expressly required by the Agreement or applicable law.
EverPass reserves the right to amend or modify these Connected TV Terms at any time. Updated Connected TV Terms will be effective when posted on EverPass’s website, made available through the Services, incorporated through the applicable Subscription Form process, or otherwise made available to Customer, unless EverPass specifies a later effective date. EverPass may provide notice of changes by any method permitted under the MSA or through the Services. Customer’s continued access to or use of the Services through a Connected TV Device after the updated Connected TV Terms become effective will indicate, and be deemed, Customer’s acceptance of the updated Connected TV Terms.
